<P><B>Background of Founders</B>
<P>Prior to co-founding SC in January 1998, the founders had worked together in Corporate Finance at William Blair & Company, L.L.C., a Chicago-based investment bank, since August 1986. From 1986 to 1997, John Svoboda and Michelle Collins collaborated on several projects, including 16 equity offerings, typically with Svoboda generating transactions and Collins executing them. Together they formed an effective team by both maintaining the highest standards of quality and declining potential transactions that did not meet their standards. The founders share common values and perceptions in terms of evaluating businesses and managers. In addition, their skills are complementary in that Svoboda's ability to identify, pursue and win business is complemented by Collins' ability to advise on business strategy and execution.
<P>The founders represent the only members of Corporate Finance in the history of William Blair to have transacted more than $1 billion in equity financing in a lead or co-managed role during a year. Both founders achieved this distinction in 1994, 1995 and 1996. From 1991 through 1996, the founders, individually and collectively, were involved in nearly $6 billion of equity financing, or 43% of the total equity financing lead or co-managed by William Blair during that time period. The following is additional information on the founders:
<P><B>John A. Svoboda -</B>
Prior to co-founding SC in January 1998, John spent 14 years in the Corporate Finance Department of William Blair. John led William Blair's new business efforts and initiated William Blair's corporate finance specialty in several industries, including industry consolidation, healthcare distribution, office products distribution and information services. John is a graduate of Williams College ('79) and received his MBA from the Stanford Graduate School of Business ('83).
<P><B>Michelle L. Collins -</B>
Prior to co-founding SC in January 1998, Michelle spent 11 years in the Corporate Finance Department of William Blair. Michelle has extensive execution experience, including due diligence, repositioning companies for the public markets and supporting management through the transition from private to public status. Michelle has had extensive industry experience with specialty retailers, value-added distributors, direct mail marketers, healthcare distributors and office products companies. Michelle is a graduate of Yale University ('82) and received her MBA from the Harvard Graduate School of Business ('86).
<P><B><U>The Rest of the SC Team</U></B>
<P><B>Michael J. Iannelli, Principal -</B>
Mike joined SC in March 1999 after spending five years as a member of the Corporate Finance Department of William Blair & Company L.L.C. He was a member of the Business Services Practice and advised middle-market companies on a range of transactions, including private financings, public offerings and merger transactions. Prior to joining William Blair & Company, Mike spent a summer at Triumph Capital Group, a Boston-based private equity firm, and was an Analyst at Merrill Lynch & Co. in the Investment Banking Group from 1989 to 1992. Mike is a graduate of the University of Notre Dame ('89) and received his MBA from the Harvard Graduate School of Business ('94).
<P><B>Michael W. Trimberger, Financial Analyst -</B>
Mike joined SC in January 1998 after previous experience as a Financial Analyst at Diamond Home Services, Inc., a Sears licensee of home improvement products, and as a Financial Analyst in the Corporate Finance Department of William Blair & Company, L.L.C. Mike is a graduate of the University of Illinois at Urbana-Champaign ('95) with a BS in Accounting and is a CPA.
<P><B>Christopher M. Myers, Financial Analyst -</B>
Chris joined SC in October 1998 after spending three years at Goldman, Sachs and Co. as a Financial Analyst in the Investment Banking Division - two years in New York as a member of the Energy and Power Group and one year in Chicago as a generalist. Chris is a graduate of DePauw University ('95) with a BA in Economics.
