<h1 class="main">Banc of America Capital Investors and Svoboda, Collins L.L.C. Team to Sponsor the Acquisition of Katun Corporation and Recapitalization of Parts Now!</h1>
<p class="main"><B>CHICAGO, July 5, 2002</b> - Banc of America Capital Investors ("BACI") and Svoboda, Collins L.L.C. ("SC") today announced that they co-sponsored the acquisition of Katun Corporation ("Katun" or the "Company") and the concurrent recapitalization of Parts Now!, LLC ("Parts Now!"). The sponsors partnered with management to complete the transaction. Katun, based in Minneapolis, MN, is the world's leading aftermarket supplier of imaging supplies, photoreceptors and parts as well as a leading manufacturer of fuser rollers for copiers. Parts Now!, headquartered in Madison, WI is the leading supplier of new and refurbished laser printer parts in the U.S. The combined company will be the leading worldwide value-added distributor of aftermarket parts and supplies for the office imaging equipment industry, with combined revenues of nearly $430 million.</p>
<p class="main">Katun develops and distributes replacement parts, drums and toner for most major copier makes and models. The Company makes significant investments in product development to identify, design and introduce high-quality OEM-equivalent products. With major distribution facilities and sales offices around the world, the Company sells into more than 170 countries. Katun sells through a combination of a direct sales force, authorized distributors and increasingly through the Internet. The Company has more than 19,000 customers, consisting primarily of copier dealers.</p>
<p class="main">Parts Now!'s strategy is centered on availability of critical laser printer parts to meet customers' needs within 24 hours or less, while providing services to help its customers identify solutions to their repair problems. In addition to its refurbishment capabilities, Parts Now! is an authorized reseller for major printer OEMs. Parts Now! sells through an in-house telesales force and has a diverse customer base, comprised of service companies, printer brokers, repair depots and internal IT departments. BACI and Svoboda, Collins L.L.C. partnered with its CEO in a management buyout in November 1999.</p>
