<h1 class="main">Wilmar Industries completes Acquisition of Barnett Inc.</h1>
<p class="main"><B>Moorestown, New Jersey, September 29, 2000 </b> - Wilmar Industries, Inc. announced today the completion of its previously announced acquisition of Barnett, Inc. (NASDAQ:BNTT) In the acquisition, which was approved by Barnett's stockholders on Wednesday, September 27, 2000, each share of Barnett common stock was converted into the right to receive $13.15 in cash. As a result of the transaction, Barnett will be a wholly owned subsidiary of Wilmar. An investor group led by Parthenon Capital and Chase Capital Partners took Wilmar private in a recapitalization, which was completed on May 16, 2000.

<p class="main">Wilmar and Barnett are both national distributors and direct marketers of specialty maintenance, plumbing and hardware products to professional contractors, facility maintenance engineers and hardware retailers. " The combination with Barnett will expand Wilmar's same day logistics network to over 45 major cities in the US, Canada and Puerto Rico", said William Green, Wilmar's Chairman and CEO. " This is a landmark event in the industry and will mean great things for our customers, employees and suppliers." Mr. Green continued, "The Barnett transaction was conceived and initiated by the Wilmar management team in mid June. Working with our new colleagues at Barnett, and with major support from our partners at Parthenon Capital and Chase Capital Partners, we were able to accomplish a great deal over a very short time period."

<p class="main">Members of the Barnett management team, including William Pray, President and CEO and Andrea Luiga, Vice President and CFO will become shareholders in Wilmar and will remain with the company in key management roles, with Mr. Pray joining the Wilmar board. Mr. Pray commented, "The entire management team at Barnett has been involved in planning the merger with Wilmar. Barnett and Wilmar have very complementary strengths. We look forward to the opportunity to learn from each other." Mr. Pray said that Barnett's headquarters would remain in Jacksonville, Florida, where Barnett has over 300 employees.

<p class="main">Wilmar and Barnett will have combined revenues of over $600 million, with over 2200 employees, including 650 field sales and telesales representatives serving over 160,000 customers throughout the United States, Canada, Mexico and the Caribbean. The Company will operate an expansive logistics network capable of reaching over 98% of the US population on a "same day" or next-day basis. Through its Wilmar, Sexauer, Barnett, Hardware Express, Maintenance USA and US Lock publications, the Company will produce over six million direct mail pieces annually.

<p class="main">In addition to Parthenon Capital and Chase Capital Partners, Wilmar shareholders include a pension plan advised by General Motors Investment Management Corporation, Sterling Investment Partners, Svoboda, Collins L.L.C., Banc Boston Capital, Mellon Ventures, National City Capital, Key Principal Partners and Wilmar executives William Green, Michael Grebe and William Sanford.
