      <p class="style12"><span class="style13">BARRY BROKERAGE</span> has been in operation since 1970. We are a New England based company. However, we do work locally, regionally and nation wide. Our tract record includes successful projects in all 50 states. Over the past years we have developed into a well rounded, full service organization with eight distinct but complementary divisions. The following description of our Divisions and Services will indicate the depth and scope of our organization. We have a great degree of capability and flexibility to meet the varied needs of our clients in today's real estate marketplace.

      <p class="style12"><span class="style13">COMMERCIAL/INDUSTRIAL DIVISION</span> - Our Commercial Brokerage Division has a solid history of serving the needs of some of the nation's largest institutional investors, owners and corporations. We provide client representation in the acquisition, sale and leasing for a broad range of properties located throughout the United States. Our brokers are supported by years of research and utilizing the latest technology in market study and analysis. We have a strong knowledge base that we have harvested from servicing commercial properties both regionally and nationwide. 
  Barry Brokerage fills a void in the management, marketing and sale of larger, specialty properties such as raw land, approved subdivisions, condominium developments, large apartment complexes, mobile home parks, mixed-use commercial buildings, mill complexes, and industrial land and/or buildings. Our unique approach has focused on the confidential and discrete promotion of these properties. Our objective is to actively market properties to prospective buyers without drawing any unwanted attention from tenants and local community. We accomplished this via extensive prior market research, a local profile, selected target market and advertising media, and out-of-town financing and closing. Bankers and developers have recognized the strengths of this division for its creativity in adaptive building/land use and financing. Additionally, they are pleased to know our other divisions can handle the end user in a complementary fashion. We employ brokers and real estate agents licensed in Massachusetts, Maine and New Hampshire.</p>
      <p class="style12"><span class="style13">RESIDENTIAL/INVESTMENT DIVISION</span> - The Barry quality of service is a hallmark with established area brokers who bring a personal touch to finding or selling a residence. Our premiere residential department specializes in meeting the needs of buyers and sellers with the same professional and personalized service that we are known for. Significant emphasis is placed on tailoring programs to suit clients objectives whether they be a substantial cash return on their investment, long term growth or a mix of both.
    We have many contacts with developers and commercial associates. We maintain a steady supply of new residential homes, lots, and condominiums, and time share vacation units. We work with the small and medium investor/owner of single and multi-family dwellings. We are happy to do as much or as little as you want.</p>
      <p class="style12"><span class="style13">PROPERTY MANAGEMENT DIVISION</span> - Significant emphasis is placed on tailoring programs to suit clients objectives whether they be a substantial cash return on their investment, long term growth or a mix of both. We provide commercial and residential property management, as well as land management, for investors, absentee owners, and Bank REO properties. We provide real time tenant and financial management through the use of computerized software and daily bookkeeping.</p>
      <p class="style12"><span class="style13">PROPERTY MAINTENANCE SERVICE</span> - We do what other companies wish they could do - we get the job done. We provide professional building management by performing routine preventative maintenance and/or 24-hour emergency service, We also provide construction management and/or project supervision for larger renovation projects or construction completion. We are proud of the fact that we are thought of as a hands-on management company.</p>
      <p class="style12"><span class="style13">RESIDENTIAL RENTAL DIVISION</span> - We work with the leading local corporations to provide their incoming personnel a welcomed relocation service. Many property owners contract with us for our placement only service. We have a large, constantly changing inventory of rental properties spanning a wide spectrum of quality.

      <p class="style12"><span class="style13">CONSULTING DEVELOPMENT SERVICES DIVISIONS</span> - Our  Valuation and Consulting Group provides a full range of services including appraisal, tax abatement, valuation, feasibility studies and other consulting services. We utilize the services of  licensed appraisers with MAI and SRA designations. Their advice is sought by state and municipal agencies, banking and financial institutions, commercial, industrial and residential properties. This division works with a variety of clients throughout the United States.
        </p>
      <p class="style12"><span class="style13">AUCTION DIVISION</span> - We have aligned ourselves with a real pro in the business. Our auctioneer has been in the business for years. This division is very creative. The auction alternative is used by our bank clients for foreclosure sales, and by some developer clients who require immediate disposition of certain distressed properties. There is a hype that goes along with a successful auction. Owners of residential properties who do not want to go through the bother of having their homes showed all the time while on the market, find this a great solution.

      <p class="style12"><span class="style13">ADVISORY SERVICES - CORPORATE</span> - Barry Brokerage's Advisory Services Group provides consulting services with a concentration on cost management and the improvement in the quality of the delivery of internal services to corporate properties in six major disciplines finance, procurement, operations, internal services, benchmarking and space utilization.          </p>
      <p class="style12">In the area of finance we develop custom models for annual operating and capital budgets specifically tailored for each client. We also develop financial packages for monthly reporting, variance analyses and forecasting. We design comprehensive lease abstracts and reports for real estate tax management. Detailed line item cost categories and chart of accounts are developed to focus on specific areas of cost in order to identify expenses accurately. Meaningful reporting methodologies enable our clients to understand when and why costs are incurred and how to better control expenses. These reporting techniques provide the fundamental tools to analyze and manage costs. </p>
      <p class="style12">Our professionals design and review specifications for all goods and services to be procured for the operation of every type of corporate property. Through a rigorous process of pre-qualifying vendors, we identify and evaluate vendors for participation in solicitations. We design bid packages for our clients which include detailed specifications, general conditions, scope of work, bid proposal and contract acceptance forms, and client specific attachments such as indemnification agreements and insurance requirements. All bids are analyzed to select the best qualified vendors at the appropriate pricing levels. </p>
      <p class="style12">Focusing on operations, our professionals concentrate on analysis and configuration mapping which includes the development of specific tasks and schedules for preventive maintenance. We focus on energy management, project management and regulatory compliance. We assist clients in the development of cost effective programs through the evaluation of existing property systems. We also conduct extensive inventories of equipment and a record of the inventory is entered into a computerized database. We work with our clients to develop customized property management systems to capture all real estate information and to render that information accessible to all real estate operatives. The property management system also maintains project information related to capital projects, such as tracking 1, 3 and 5 year capital plans by location and type of project. This information is further correlated with all data contained in the reports generated by the annual inspections of the facilities.        </p>
      <p class="style12">To enhance efficiencies in the delivery of services to the properties, our professionals assess the current internal customer requirements and develop specific recommendations that direct the efficient flow of work. We establish guidelines to achieve improvements in a client's current operation to reduce costs and improve the quality of services performed at each property. This is accomplished by identifying priority levels for service calls, targeted turn around times, and the appropriate technology to streamline the delivery of services. We also conduct cost/benefit analyses to determine whether or not services should be performed in house or contracted out to vendors. We develop aging reports to identify and track the backlog of work. These and other tools are essential to maintaining desired service levels.</p>
      <p class="style12">Our focus on total quality management is to deliver high quality services in the most cost effective manner possible. For example, the identification of specific targets or measurable levels of customer satisfaction may add value in determining how much to spend for a particular service. These findings may reveal the need to enhance or scale back certain services. We  prepare customer satisfaction surveys and orchestrate focus group sessions to quantify and monitor levels of customer satisfaction. </p>
      <p class="style12">Benchmarking and tracking and trending models in the area of finance and customer service lead to the development of best practices for our clients. Our professionals utilize our models to perform comparative analyses of costs on a per square foot basis for our clients. This analyses are conducted by type of service, specifications, type of property and geographic location. </p>
      <p class="style12">In the area of Space Utilization, we counsel on acquisitions and dispositions. Our market research group provides up-to-date market information on values and trends for site selection and feasibility analysis. Our research includes an analysis of the highest and best use of locations so that our clients may factor the cost implications of their real estate considerations into their overall business strategies. </p>
      <p class="style12"><span class="style13">FEES</span> - Our fees are based upon the services rendered and are tailored to the job we are working on.
