THE FOLLOWING IS A LICENSE AGREEMENT RELATING TO YOUR USE OF THE FLASHCHARTS SOFTWARE.

The software developer, MousePeople Interactive co. (MPI) hereby grants to you a non-transferable and non-exclusive license to possess and use the Software in accordance with the terms and conditions of this Agreement. You agree that you are licensing the Software for its end use only and not for resale or redistribution.

The license authorizes you to use the Software solely in accordance with this Agreement. You shall not sell, lease, assign, transfer, sublicense, disseminate, modify, translate, duplicate, reproduce or copy the Software (or permit any of the foregoing) any information pertaining thereto to any other party without prior written consent of MPI. You may not reverse assemble or reverse compile or otherwise attempt to recreate and reuse the source code of the Software.

You acknowledge that the Software, including the related documentation and any new releases, modifications and enhancements therto, belongs to MPI (and its licensors), and that MPI (and its licensors) retains all right, title and interest in and to the Software.

MPI does not guarantee service results or represent or warrant the the Software will operate error free. THE SOFTWARE IS PROVIDED BY MPI "AS IS". MPI HEREBY DISCLAIMS ALL WARRANTIES OF ANY NATURE, EXPRESS, IMPLIED OR OTHERWISE, OR ARISING FROM TRADE OR CUSTOM, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF FITNESS FOR A PARTICULAR PURPOSE.

You hereby imdemnify and hold harmless MPI and its affiliates against any loss, liability, damages, costs or expenses suffered or incurred by the Indemnified Parties at any time as a result of any claim, action or proceeding arising out of or relating to your use, operation or damages, costs or expenses which may be suffered or incurred at any time by you as a result of your reliance upon or use of the Software. MPI SHALL NOT BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING GENERAL, DIRECT, SPECIAL, INCIDENTAL AND CONSEQUENTIAL DAMAGES, RESULTING FROM OR ARISING OUT OF THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.
