Loofbourrow founded John W. Loofbourrow Associates, Inc. in 1980,
and has specialized in institutional private placements for more
than 30 years.</font></p>
<p class="biotext" style="text-align: justify"><font size="2">Prior
to founding the firm, he had established the Investment Banking
division of First Pennco Securities, where he and his staff structured
and sold over $300 million in healthcare and educational financings.
He began his capital markets career at Salomon Brothers Inc., serving
as Director of the Computer Division and Vice President in the Institutional
Bond Division.</font></p>
<p class="biotext" style="text-align: justify"><font size="2">Mr.
Loofbourrow holds a B.S. degree in Engineering from Rensselear Polytechnic
Institute and did graduate work at Case Western Reserve Business
School. Mr. Loofbourrow is a National Association of Securities

coming to Loofbourrow, Mr. Schauer was responsible for originating
asset-backed purchases for Sumitomo Bank, Limited and its various
Commercial Paper conduits. Prior to his experience at Sumitomo,
he was with the Private Placement Group of Prudential Insurance,
where he analyzed various types of asset-backed securities and developed
risk and portfolio management tools.</font></p>

Schauer holds a B.S. in Management from Saint John Fisher College
and an MBA from the Stern School of Business at NYU. He is also

to joining Loofbourrow, Ms. Blattman was a Director in the Private
Placement Group at ING Barings responsible for transaction origination,
structuring and distribution globally, and specifically focusing
on Latin America. Before going to ING, Ms. Blattman was Vice President
and Deputy Manager of the Asset-Backed Finance Group at Banco Santander,
S.A., where she developed a substantial book of structured finance
business in both commodity and esoteric asset classes. Prior to
joining Santander, Ms. Blattman worked in the Mortgage and Asset-Backed
Capital Group at Prudential Securities.</font></p>

Blattman has a Bachelor of Science in Finance/Management from Binghamton
University and her MBA degree in Finance/International Business
from New York University's Stern School of Business. She is a member

of Brian Foley Associates, Brian Foley is a recognized thought leader
in the general aviation sector. Since 2006 the firm has focused
on the analysis and synthesis of this area with a specialty in business
aviation. His primary practice areas are industry analysis
and forecasting, market research, strategic planning, new product
evaluation and transaction support. Sample engagements have
included assisting prospective investors with industry and company
market due diligence, evaluating aircraft valuation dynamics for
a bank, developing a marketing plan for an aircraft finance company
and writing a Private Placement Memorandum market summary for an
aviation services company.</font></p>
<p class="biotext" style="text-align: justify"><font size="2">Through
his affiliate John W. Loofbourrow Associates, Inc. he is licensed
to help general aviation companies find growth capital or develop
an exit strategy. Simultaneously he helps investors find opportunities
in the aviation sector. His latest focus has been in the Fixed
Base Operator (FBO) Maintenance Repair & Overhaul (MRO), charter/management
and aircraft parts and services sectors.</font></p>
<p class="biotext" style="text-align: justify"><font size="2">After
starting at Boeing, he later served 21 years as worldwide marketing
executive for Dassault Falcon Jet, a major business jet manufacturer.
He participates in numerous industry associations such as The Wings
Club, and speaks at related meetings and conferences. He's
routinely quoted in such publications as the Wall Journal, TIME
Magazine, Business Week and USA TODAY on various general aviation
topics.</font></p>

for several large automobile dealership groups.
He has been a trouble shooter for General Motors and Ford Motor

turnaround several dealerships experiencing severe operational and
financial problems. Mr. Wilson was President and COO for a
hedge fund backed group of trouble automobile dealerships
which he turned around and positioned for sale. Mr. Wilson
was also CFO for a large automobile dealer group in the Washington,
D.C. market where he developed internal control and cost saving
programs that have remained in effect for over 22 years. Mr.
Wilson has extensive experience in benchmarking, due diligence and
by/sell agreements and is particularly knowledgeable about the ADP
and Reynolds and Reynolds data processing systems.</font></p>

<p style="text-align: justify">Mr. Kondracki has over 20 years of
experience as an Investment Banker financing corporations, real
estate projects, sovereigns and oil and gas and power projects.
Prior to joining Loofbourrow, Mr. Kondracki worked for Deutsche
Banc Alex. Brown ("DBAB") as Director originating and
executing project financings in North and South America. At
DBAB Michael was based in New York and Buenos Aires and focused
on oil, gas and power projects. He and his team closed
a $2.5B project financing for Petrobras in Brazil that was named
the <font size="2"><b><i>Americas Oil and Gas Deal of the Year </i></b>by
Project Finance International Yearbook. </font></p>
<p style="text-align: justify"><font size="2"> Before joining
DBAB, Michael was a Vice President at Prudential Securities Inc.
("PSI") where he originated and executed corporate financings,
exclusive sales and restructurings for emerging growth issuers in
North and South America. At PSI, Michael executed the initial
public offerings for the largest brewery and winery in Chile and
the largest truck and bus manufacturer and steel mini-mill operation
in Mexico. He and his team completed the Privatization of
Ecuador's national airline and the first Euro-Subordinated Bonds
for a Latin American bank as well. Michael has held various
positions at Citigroup in LBOs, at Manufacturers Hanover Trust Co.
in Sovereign debt restructuring and North American Oil and Gas,
and at the Inter-American Development Bank working with the national
wat4er company in El Salvador. He closed various advisory
and financing assignments at each institution. </font></p>
<p style="text-align: justify"><font size="2">Mr. Kondracki has also
acted as a Simultaneous Spanish Interpreter for Latin American Diplomats,
Ministers and Presidential Candidates for the U.S. Dept of State.
Mr. Kondracki was graduated from the University of Scranton Magna
Cum Laude with Honors, completed a Fulbright Scholarship in Lima,
Peru, received his MBA from New York University's Stern School in
Finance/International Business and was recently awarded a Certificate
in Real Estate Finance and Investment from The Schack Institute
of Real Estate at New York University. He is a frequent contributing
writer to the NY Real Estate Journal and has appeared as a market
commentator on Channel 12 News in CT. He is a FINRA member,
holding Series 7, 63, 65 licenses.</font></p>

He has also been a Managing Director of the affiliated investment
banking firm of Bay Colony Capital since 2008.</font></p>

to joining Bay Colony Capital, Mr. Eastman represented a number

in the opening of 30 de novo retail branches, the recruitment of
500 employees and the origination of over $1 billion in new business.
Prior to Citibank, he represented the Citizens Bank subsidiary of
the Royal Bank of Scotland, where he was responsible for originating
large corporate relationships in New England. Prior to Citizens,
he managed Sumitomo Bank's loan production office in Boston, and
served as a top commercial lender for Lloyds Bank Plc., Daiwa Bank
Ltd. and Bank of Boston.</font></p>

experience in corporate finance, capital markets, and restructuring,
Jim co-founded Bay Colony in June of 2008 prior to that he was Managing
director at Artisan, LLC a financial advisory firm following a successful
tenure at Argilus Investment Banking. Jim also worked at ValuQuest
Business Appraisals a Bonadio & Co., LIP division (the largest
independent accounting firm in NYS outside of NYC) conducting business
valuation studies for a variety of industries. Jim was the
CFO at the center for Governmental Research, a 95 year-old management
consulting firm for 14 years.</p>
<p style="text-align: justify">Jim received his BS from St. John Fisher
College an his MBA from the William E. Simon Graduate School of
Business Administration at the University of Rochester. Jim
maintains Series 79, 7 & 63 securities licenses.</p>
