<li><small><b>Terms of Payment.</b> All payments for PMA OnLine Energy Yellow Pages
SPOTLIGHT advertising are due and payable upon invoicing. Advertiser agrees to pay
PMA OnLine within 30 days from the date of the invoice. Late payments bear interest at the
rate of 2% per month, or, if less, the highest rate permitted under law.<br>

<li><small><b>Renewal.</b> Except as set forth in theinsertion order, any renewal of the
insertion order and acceptance of any additional advertising order shall be at PMA OnLine
's sole discretion. Pricing for any renewal period is subject to change by PMA OnLine from
time to time.<br>

<li><small><b>No Assignment or Resale of Ad Space.</b> Advertiser may not resell, assign or
transfer any of it's rights hereunder.<br>
</small></li>
<li><small><b>Advertiser Representations.</b> Advertiser will conduct its web advertising
campaigns on PMA OnLine in accordance with the highest industry standards. Advertiser
acknowledges that PMA OnLine has no responsibility to review the Advertiser's
advertisements. Advertiser's web site(s) and advertisements shall not contain, or contain
links to, improper or illegal content. PMA OnLine reserves the right to reject any
advertisement, insertion order or URL link embodied within an advertisement at any time.
Advertisements are accepted upon the representation that Advertiser has the rights of any
third parties. Advertiser agrees to indemnify and hold PMA OnLine and PMA OnLine 's web
site affiliates harmless against any and all expenses and losses of any kind (including
reasonable attorney's fees and costs) incurred by PMA OnLine or its web site affiliates in
connection with any claim of any kind arising out of publication of the advertisement
(including, without limitation, any claim of trademark or copyright infringement, libel
defamation, breach of confidentiality, false or deceptive advertising or sales practices)
and / or any material of Advertiser to which users can link through the advertisement.<br>

<li><small><b>Limitation of Liability. </b>PMA OnLine 's AD SPACES ARE PROVIDED "AS
IS" AND "AS AVAILABLE" AND PMA ONLINE DISCLAIMS ALL WARRANTIES OF ANY KIND,
WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE INPLIED WARRANTY OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM
COURSE OF DEALING OR COURSE OF PERFORMANCE. PMA OnLine shall not be liable for any
advertisers or content providers whose content appears on PMA OnLine, nor the contents of
any advertisements, web site or web page. In the event that PMA OnLine fails to display an
advertisement in accordance with the insertion order (or in the event of any other
failure, technical or otherwise), the sole liability of PMA OnLine to Advertiser shall be
limited to either a refund of the advertisement fee for the portion of the ads that failed
to run, or placement of the advertising at a later time. In no event shall PMA OnLine be
responsible for any consequential, special, lost profits, or other damages arising from
any failure to timely run the advertising in accordance with the insertion order. Without
limiting the foregoing, PMA OnLine shall have no liability for any failure or delay
resulting from conditions beyond PMA OnLine 's control.<br>

<li><small><b>Cancellations. </b>Except as otherwise provided in the insertion order, the
insertion order is cancelable by the Advertiser with 30 days written notice.<br>

<li><div align="left"><p><small><b>Miscellaneous.</b> No conditions other than those set
forth in the insertion order or these Standard Terms shall be binding on PMA OnLine unless
expressly agreed to in writing by PMA OnLine. In the event of any inconsistency between
the insertion order and Standard Terms, the Standard Terms shall control. These Standard
Terms, together with the insertion order, (i) shall be governed by, and construed in
accordance with, the laws of the Commonwealth of Virginia, without giving effect to
principles of conflicts law; (ii) may be amended only by written agreement executed by an
authorized representative of each party; and (iii) constitute the complete and entire
expression of the agreement between the parties, and shall supersede any and all other
agreements, whether written or oral, between the parties.</small><font face="Arial" size="2"><br>
