<font face="Arial" size="2">Tony Dreyspool focuses his practice on
fiduciary responsibility under ERISA, particularly as it relates to
the investment of ERISA plan assets. Mr. Dreyspool advises clients,
including prominent investment managers and ERISA plans, on compliance with
ERISA’s rules regarding fiduciary duties and prohibited
transactions. He also structures and organizes private investment
funds and analyzes their portfolio investments with respect to ERISA’s plan assets rules.
In addition, Mr. Dreyspool has extensive experience in
corporate and contract matters. <br>

<font face="Arial">In connection with the foregoing, Mr. Dreyspool:</font></p>

employers on an annual basis regarding their compliance with
ERISA;</font></p></li>

<font face="Arial">Resolves disputes between his clients and the
US Department of Labor (DOL);</font></p></li>
<li>
<p class="MsoNormal" align="left" style="line-height: 150%">
<font face="Arial">Obtains advisory opinions and prohibited
transaction exemptions from the DOL; and</font></p></li>

<p class="MsoNormal" align="left" style="line-height: 150%">
<font face="Arial">Drafts and reviews marketing material and
disclosure documents regarding investment funds and employee
benefit plans.</font></p></li>

<font face="Arial" size="2">BACKGROUND AND EXPERIENCE</font></b></p>
<p class="MsoNormal" align="left" style="line-height: 150%">
<font face="Arial" size="2">Mr. Dreyspool brings to his practice more than 30 years of
experience regarding ERISA matters and substantial knowledge of
structuring and forming private real estate and equity funds for the
institutional investment market. He has counseled many of the
world's largest real estate and hedge fund managers on ERISA as well as on fund
formation matters.<br>

<font face="Arial" size="2">Before forming his own firm, he was a
partner at DLA Piper LLP (US) and, prior to that, Of Counsel at Paul, Hastings, Janofsky & Walker in New York. Previously, he was the chief ERISA
attorney for The Equitable Life Assurance Society of the United
States. In that role, he advised Equitable and its investment
management subsidiaries on all legal requirements involved in the
investment of ERISA plan assets. </font></p>

<font face="Arial">Prior to working</font><font face="Arial" size="2"> at Equitable Life, Mr. Dreyspool was an employee benefits lawyer at JC Penney Company, Inc. He began
his legal career at the law firm of Dewey Ballantine.</font></p>

ERISA matters at legal seminars and teleconferences.</font></p>
