<p>PEABODY, Mass.--(BUSINESS WIRE) Beacon Roofing Supply, Inc. (Nasdaq: BECN), a leading distributor of roofing materials in key metropolitan markets in the Northeast, Mid-Atlantic, Southeast and Southwest regions of the United States and in Eastern Canada, today announced the public offering of 13.5 million shares of common stock at a price of $13.00 per share. In the offering, the Company is selling 8.5 million shares and selling stockholders of the Company are selling 5.0 million shares. In addition, certain selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 2,025,000 shares of common stock to cover over-allotments, if any.</p>
<p>The Company will use the net proceeds from this offering to repay debt and redeem warrants. The Company will not receive any of the proceeds from the sale of shares by the selling stockholders.</p>
<p>J.P. Morgan Securities Inc. is acting as sole book-running manager and joint lead manager of the offering and William Blair & Company, L.L.C. is also acting as joint lead manager. The shares will begin trading on The NASDAQ Stock Market's National Market under the symbol "BECN" on September 23, 2004.</p></td>
